1. Introduction and Definitions
Good Analysis provides consulting, market intelligence, strategy, and advisory services to businesses and organisations. These Terms & Conditions ("Terms") govern the use of our website and, where applicable, the engagement of our services. "We", "us", and "Good Analysis" refer to the provider of these services; "you" and "client" refer to the individual or organisation engaging with us. "Deliverables" means reports, strategies, recommendations, analyses, messaging systems, and other materials we produce in the course of an engagement. "Engagement" means a project-based or ongoing advisory relationship agreed between you and Good Analysis.
2. Use of Our Services and Website
When you use our website or engage our services, you agree to use them only for lawful purposes and in line with these Terms. You are responsible for providing accurate and complete information when requesting a consultation or engaging our services. You may not use our advice, deliverables, or materials for any illegal or unethical purpose, or in a way that infringes the rights of others. Our advice and deliverables are intended for your internal business and strategic use as agreed in the engagement; redistribution, resale, or use beyond that scope may require separate agreement.
3. Engagements and Fees
Engagements may be project-based or ongoing (e.g. retainer). Scope, deliverables, fees, and payment terms will be set out in a separate agreement, statement of work, or proposal agreed between you and Good Analysis. Payment is due as specified in that agreement (e.g. on invoice, in stages, or monthly). We may suspend or cease work if payment is not received when due. Fees are typically quoted in the currency and on the basis set out in the engagement; any applicable taxes are your responsibility unless otherwise agreed.
4. Intellectual Property
Good Analysis retains ownership of its methodologies, tools, frameworks, and pre-existing materials. You retain ownership of your data and confidential information that you provide to us. Deliverables we create for you are licensed to you for your internal and business use as described in the engagement (e.g. to implement the strategy or use the messaging within your organisation). Unless otherwise agreed, you may not sell, sublicense, or publicly distribute the deliverables, or use our name or materials in a way that suggests endorsement, without our prior written consent. We may use anonymised learnings and non-confidential, aggregated insights for our own improvement and marketing, but we will not disclose your confidential information or identify you without permission.
5. Disclaimers and Limitation of Liability
Our services and deliverables are provided for strategic and business decision-making. They are offered "as is" and do not constitute legal, tax, accounting, or other regulated advice; where you need such advice, you should seek it from an appropriately qualified professional. We do not guarantee any specific business outcome, result, or performance. To the fullest extent permitted by law, Good Analysis is not liable for any indirect, consequential, or special loss, or for loss of profit, revenue, or data, arising from your use of our services or deliverables. Our total liability in connection with an engagement will not exceed the fees paid by you for that engagement in the twelve months preceding the claim, unless otherwise required by law.
6. Termination
Either party may terminate an engagement in accordance with the terms set out in the engagement agreement (e.g. notice period, early termination fee). If no specific terms apply, either party may end the engagement on reasonable written notice. On termination, you must pay for all work performed and for any non-cancellable commitments we have incurred. Deliverables already provided to you may continue to be used by you in line with the licence in section 4. Sections that by their nature should survive (including IP, disclaimers, liability, and dispute resolution) will remain in effect after termination.
7. Dispute Resolution
These Terms are governed by the laws of England and Wales. Any dispute arising from or in connection with these Terms or an engagement will first be addressed through good-faith discussion. If the dispute cannot be resolved within a reasonable period, it may be referred to mediation in a manner agreed by both parties. If mediation does not resolve the dispute, the courts of England and Wales will have exclusive jurisdiction, unless we agree otherwise in writing.
8. Entire Agreement and Amendments
These Terms, together with any engagement agreement, statement of work, or proposal that applies to your engagement, constitute the entire agreement between you and Good Analysis in relation to the subject matter and supersede any prior discussions or agreements. We may update these Terms from time to time; the current version will be published on this page. Continued use of our website or services after changes constitutes acceptance of the updated Terms. For engagements already in place, the terms agreed in the engagement document will prevail unless we both agree to apply revised Terms.
